Shareholder Proposals in 2018: Something Old, Something New

The staff of the SEC’s Division of Corporation Finance responded to 124 shareholder proposal no-action letter requests in the first two months of 2018. This number is down significantly from last year, when there were 168 proposals in the same time period.

In keeping with a 2017 trend, human rights and social issues were the most popular shareholder proposal topics so far this year in proposals challenged by issuers. There have been 26 proposals relating to that topic covered in no-action letter requests, and 22 relating to environmental issues, which is the second most popular topic.
